Our practice in the public finance area is extensive. Since 1967, we have served as bond and disclosure counsel on public finance transactions involving public agency and government issuers on both state and local levels. Members of the firm have worked with virtually all issuers in the State of Alaska. As a leader in the field of public finance law in Alaska, we offer bond counsel and disclosure counsel services for general obligation bonds, revenue bonds, tax-exempt, and taxable bonds. We represent bond issuers in negotiations with underwriters, providers of credit enhancement, and bond rating agencies. We also represent underwriters and trustees involved in public finance transactions. We provide legal interpretation, guidance regarding compliance with trust indentures, resolutions, and issues that may arise with regard to federal and state laws, legislation, regulations, litigation, administrative proceedings, or other matters related to issuance of debt obligations. Our public finance attorneys routinely work with federal tax statutes, regulations, and rulings to resolve arbitrage, rebate, and other federal tax questions for issuers.

We advise public and private entities on various aspects of state and federal securities law and issue opinions on that law. We advise clients on registration and exemption on, and provide opinions on, a wide variety of offerings under state and federal securities laws. We regularly serve before the federal Securities and Exchange Commission and state securities regulators to accomplish a wide variety of registrations, exemptions, filings and opinions under the federal Securities Act of 1933, the Securities Exchange Act of 1934, and state securities law for clients, including publicly-traded companies. We also provide representation and advice on capital formation and smaller offerings, such as Regulation D private offerings. We advise Alaska Native corporations and Native groups as to compliance with Native proxy solicitation under regulations adopted pursuant to the Alaska Securities Act.

We represent and advise banks and other financial institutions on issues of commercial law and regulatory compliance. We advised and represented persons forming what was, at the time, the sole trust company organized under Alaska law to take advantage of the repeal of the rule against perpetuities and other legislation providing for asset protection trusts. We continue to advise that institution and provide ongoing advice and representation in matters of compliance with Alaska law.
